Terms of Service

1. Who we are

The Service is provided by GTW Scaling Solutions S.R.L., a company registered in Romania (fiscal code CUI 43728068, EU VAT RO54005929), with its registered office at Str. Lămâiței 129, Bl.1, Sc.A, Et.2, Ap.10, Brașov 500371, Romania. In these Terms, "Cadenus", "we", "us" and "our" refer to GTW Scaling Solutions S.R.L. You can reach us at contact@cadenus.io.

2. The Service

Cadenus is a software-as-a-service platform that helps marketing agencies run their daily operations — including content planning and social media publishing, client management, approvals, scheduling, task management, reporting and team collaboration. We may add, change or remove features over time to improve the Service.

3. Accounts and eligibility

• You must be at least 18 years old and able to enter into a binding contract.
• You are responsible for the accuracy of the information you provide and for keeping your login credentials secure.
• You are responsible for all activity that happens under your account and for the conduct of users you invite to your workspace.
• Notify us promptly at contact@cadenus.io if you suspect any unauthorised use of your account.

4. Subscriptions, trials and billing

The Service is offered on a subscription basis. We may offer a free trial period; at the end of the trial you must subscribe to a paid plan to continue using paid features.

• Fees are billed in advance on a recurring basis (for example monthly) at the price shown when you subscribe, and renew automatically until cancelled.
• Payment is processed by our third-party payment provider; by subscribing you authorise us to charge the applicable fees to your selected payment method.
• Taxes such as VAT may be added where required by law.
• Cancellation takes effect at the end of the current billing period; you keep access until then. Except where required by law, fees already paid are non-refundable.
• We may change our prices on reasonable prior notice, effective from your next billing period.

5. Your content

You retain all rights to the data, media and other content you create, upload or connect to the Service ("Your Content"). You grant us a limited licence to host, process and transmit Your Content solely as needed to operate and provide the Service to you — including publishing content to the third-party accounts you connect, at your instruction.

You are responsible for Your Content and for ensuring you have the rights and permissions necessary to use it and to publish it through the Service.

Where you use the Service to process personal data on behalf of others (for example, the personal data of your own clients and their audiences), you act as the data controller and Cadenus acts as your data processor. That processing is governed by our Data Processing Addendum ("DPA"), which is incorporated into and forms part of these Terms. By accepting these Terms you also agree to the DPA. In the event of any conflict between these Terms and the DPA regarding the processing of personal data, the DPA prevails.

6. Third-party integrations

The Service lets you connect third-party accounts and services — such as Meta (Instagram and Facebook), TikTok, YouTube and Google — so that Cadenus can perform actions you request, such as scheduling and publishing the content you create or reading your calendar.

• When you connect an account, you authorise Cadenus to access and use it only to carry out the actions you initiate within the Service.
• Your use of each third-party service remains subject to that provider's own terms and policies, and we use their platforms in accordance with their developer and platform terms.
• You can disconnect any integration at any time from within the Service or from your account settings with the relevant provider. We are not responsible for the availability, accuracy or actions of third-party services.

7. Acceptable use

When using the Service, you agree not to:

• break any applicable law, or infringe anyone's intellectual property, privacy or other rights;
• publish or transmit content that is unlawful, deceptive, harmful, hateful or otherwise violates the policies of the platforms you connect;
• send spam or unsolicited messages, or attempt to circumvent the rate limits or rules of connected platforms;
• interfere with, disrupt, probe or attempt to gain unauthorised access to the Service or its infrastructure;
• reverse engineer, resell or misuse the Service except as expressly permitted.

We may suspend or limit accounts that violate these Terms or that put the Service or other users at risk.

8. Intellectual property

The Service, including its software, design, and branding, is owned by GTW Scaling Solutions S.R.L. and is protected by intellectual property laws. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service as described here.

9. Availability and changes

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify, suspend or discontinue parts of the Service. We will give reasonable notice of material changes where practical.

10. Disclaimers

Except as required by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. You use the Service at your own discretion and risk.

11. Limitation of liability

To the maximum extent permitted by law, GTW Scaling Solutions S.R.L. will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if required to protect the Service or comply with the law. On termination, your right to use the Service ends; provisions that by their nature should survive (such as intellectual property, disclaimers and limitation of liability) will continue to apply. Data handling after termination is described in our Privacy Policy and Data Deletion page.

13. Governing law

These Terms are governed by the laws of Romania, without regard to conflict-of-law rules. The competent courts of Brașov, Romania will have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and take reasonable steps to notify you. Your continued use of the Service after an update means you accept the revised Terms.
